What's the story

Hindustan Coca-Cola Holdings (HCCH), the parent of Hindustan Coca-Cola Beverages (HCCB) and The Coca-Cola Company's largest bottling partner in India, has filed its draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI). The move is a step toward HCCH's proposed initial public offering (IPO). The proposed IPO is expected to raise around $1 billion.

Offer for sale

Entire issue is an offer for sale

The proposed public issue will be entirely an offer for sale (OFS), with no fresh issue component.

Hindustan Coca-Cola Overseas Holdings Pte. Ltd. the promoter selling shareholder, plans to sell up to 997,461,456 equity shares of ₹10 each.

The Coca-Cola Company owns a 60% stake in HCCH while Jubilant Bhartia Group holds the remaining 40%.

Fund allocation

HCCH won't receive any money from IPO

Since the issue is entirely an OFS, HCCH won't receive any money from the IPO. The proceeds will go to the promoter selling shareholder after deducting offer-related expenses.

"Our Company will not receive any proceeds from the Offer and all the proceeds of the Offer will be received by the Promoter Selling Shareholder after deduction of Offer related expenses," said HCCH in its DRHP.
